Welcome to VVBite Journey. These Terms of Service (“Terms,” “Agreement”) govern your access to and use of our website https://grieavstirbafzoa.club (the “Site”) and our furniture repair, restoration, refinishing, upholstery, and related services (collectively, the “Services”) provided in Vietnam.

By accessing our Site, requesting a quote, scheduling a service, or engaging VVBite Journey for any work, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

1. ✅ ACCEPTANCE OF TERMS

1.1 By using our Site or Services, you confirm that:

  • You are at least 18 years old or have parental/guardian consent;
  • You have the legal authority to enter into this Agreement;
  • You will use our Services only for lawful purposes and in compliance with Vietnamese law.

1.2 We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting with an updated “Last Updated” date. Your continued use of our Services after changes constitutes acceptance of the revised Terms.

2. 🛠️ DESCRIPTION OF SERVICES

2.1 Scope of Work: VVBite Journey provides professional furniture repair and restoration services, including but not limited to:

  • Wood restoration, scratch/dent repair, and finish refinishing
  • Upholstery replacement, foam restoration, and fabric matching
  • Structural reinforcement, joinery repair, and hardware replacement
  • Antique conservation and heritage furniture care
  • Commercial/hospitality furniture maintenance programs

2.2 Service Limitations:

  • We reserve the right to decline any project that poses safety risks, involves illegal materials, or exceeds our technical capabilities.
  • Certain antique, severely damaged, or non-standard pieces may require specialized assessment; we will notify you if we cannot proceed.
  • All Services are performed at our registered workshop in Ho Chi Minh City unless otherwise agreed in writing.

2.3 No Employment Relationship: Engagement of VVBite Journey does not create an employer-employee, partnership, or joint venture relationship.

3. 💰 PRICING, PAYMENTS & INVOICING

3.1 Quotes & Estimates:

  • All quotes provided via WhatsApp, email, or on-site assessment are estimates based on visible damage and described requirements.
  • Final pricing may adjust if additional damage is discovered during disassembly or restoration, subject to your prior written approval.
  • Quotes are valid for 30 days from issuance. Material costs may fluctuate due to market conditions.

3.2 Payment Terms:

  • A deposit of 30–50% may be required to commence work, depending on project scope and material costs.
  • Final payment is due upon completion and before delivery of repaired items.
  • We accept: Cash (VND), bank transfer (Vietcombank, Techcombank, MB Bank), and credit/debit cards via secure terminal.

3.3 Invoicing & VAT:

  • All transactions are subject to Vietnamese VAT (currently 8–10%) as required by law.
  • VAT invoices are provided for all payments. Commercial clients may request formal tax invoices with company details.
  • Late payments may incur a 1.5% monthly interest fee or suspension of Services.

4. 📦 PICKUP, DELIVERY & RISK OF LOSS

4.1 Pickup & Delivery:

  • Free pickup is available within central Ho Chi Minh City districts (1, 2, 3, Binh Thanh, Phu Nhuan, Go Vap, District 7).
  • Outer zones and provinces incur a flat transport fee, quoted in advance.
  • Delivery is scheduled upon project completion and final payment confirmation.

4.2 Risk of Loss & Insurance:

  • Items are insured during VVBite Journey’s custody and transit against damage or loss.
  • Pre-existing damage is documented via photos prior to pickup.
  • Client is responsible for securing valuable detachable components (hardware, cushions, personal items) before handover.
  • For high-value or antique pieces, enhanced packaging and optional third-party appraisal coordination are available (fees apply).

4.3 Delays:

  • We are not liable for delays caused by force majeure events (extreme weather, supply chain disruptions, public health restrictions, government actions, or client unavailability).

5. 🔧 WARRANTY & SERVICE GUARANTEE

5.1 Standard Warranty:

  • All repairs and refinishing work are covered by a 12-month written warranty from the date of delivery.
  • Warranty covers defects in materials and workmanship under normal use and proper maintenance.

5.2 Warranty Exclusions: The warranty does not cover:

  • Damage from misuse, accidents, neglect, or improper cleaning
  • Normal wear and tear, fading, or environmental degradation
  • Modifications or repairs performed by third parties without our authorization
  • Pre-existing conditions not disclosed or visible during initial assessment

5.3 Warranty Claims Process:

  • Contact us at info@grieavstirbafzoa.club with photos and a description of the issue.
  • We will assess the claim within 5 business days and propose a resolution (re-repair, partial refund, or credit).
  • Warranty service is provided at our workshop; transport fees may apply for non-central locations.

5.4 Warranty Documentation:

  • A warranty certificate is provided with each completed project. Keep this document for future claims.
  • Warranty is non-transferable and applies only to the original client and item.

6. 👤 CLIENT OBLIGATIONS & CONDUCT

6.1 Accurate Information: You agree to provide accurate, complete, and up-to-date information for quotes, scheduling, and service delivery.

6.2 Access & Cooperation: You agree to provide safe, unobstructed access for pickup/delivery and cooperate with scheduling requirements.

6.3 Prohibited Uses: You agree not to:

  • Use our Site or Services for fraudulent, illegal, or harmful purposes
  • Submit false information, fake reviews, or misleading damage descriptions
  • Attempt to reverse-engineer, copy, or misuse our restoration techniques or proprietary processes
  • Harass, threaten, or defame our staff, technicians, or representatives

6.4 Intellectual Property: All before/after photos, process documentation, and technical methods created by VVBite Journey remain our intellectual property. Client grants us a non-exclusive license to use project photos for portfolio, marketing, and quality assurance purposes unless otherwise agreed in writing.

7. ⚠️ LIMITATION OF LIABILITY

7.1 To the maximum extent permitted by Vietnamese law:

  • VVBite Journey shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our Site or Services.
  • Our total aggregate liability for any claim related to our Services shall not exceed the amount paid by you for the specific repair project in question.

7.2 Exclusions Do Not Apply To:

  • Liability for death or personal injury resulting from our negligence
  • Fraud or fraudulent misrepresentation
  • Matters that cannot be legally excluded or limited under Vietnamese consumer protection law

7.3 Client Responsibility: You acknowledge that furniture repair involves inherent variables (material age, hidden damage, environmental factors). We commit to professional standards but cannot guarantee identical outcomes for every piece.

8. 🔐 DATA PROTECTION & PRIVACY

8.1 Your personal data is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

8.2 By using our Services, you consent to:

  • Collection and use of your contact details, address, and furniture photos for service delivery
  • Storage of project documentation (including before/after photos) for warranty and quality purposes
  • Communication via phone, WhatsApp, or email regarding your project status

8.3 You may withdraw marketing consent or request data deletion at any time by contacting privacy@grieavstirbafzoa.club, subject to legal retention requirements.

9. 🔗 THIRD-PARTY LINKS & SERVICES

9.1 Our Site may contain links to third-party websites (fabric suppliers, certification bodies, Google Business Profile, social media). These links are provided for convenience only.

9.2 We do not control, endorse, or assume responsibility for:

  • The content, accuracy, or practices of external sites
  • Third-party services engaged with your consent (e.g., specialized appraisers, freight forwarders)

9.3 Accessing third-party links is at your own risk. We encourage reviewing their terms and privacy policies independently.

10. 🔄 MODIFICATIONS, SUSPENSION & TERMINATION

10.1 We Reserve the Right To:

  • Modify, suspend, or discontinue any aspect of our Site or Services at any time
  • Decline or terminate service to any client who violates these Terms or engages in abusive conduct
  • Update pricing, service offerings, or operational policies with reasonable notice

10.2 Client Termination: You may cancel a scheduled service up to 24 hours before pickup without penalty. Cancellations within 24 hours may incur a 20% administrative fee to cover scheduling and preparation costs.

10.3 Effect of Termination: Upon termination:

  • Outstanding payments for completed work remain due
  • Warranty obligations for completed projects continue per Section 5
  • Confidentiality and intellectual property provisions survive termination

11. ⚖️ GOVERNING LAW & DISPUTE RESOLUTION

11.1 Governing Law: These Terms and any dispute arising out of or relating to our Services shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

11.2 Dispute Resolution:

  • Step 1: Good-faith negotiation between parties within 15 days of written notice
  • Step 2: Mediation through a mutually agreed Vietnamese mediation center
  • Step 3: Exclusive jurisdiction of the competent courts in Ho Chi Minh City, Vietnam

11.3 Class Action Waiver: Any dispute shall proceed on an individual basis. You waive any right to participate in class, collective, or representative proceedings.

12. 📢 GENERAL PROVISIONS

12.1 Entire Agreement: These Terms, together with our Privacy Policy, Disclaimer, and any signed service agreement, constitute the entire agreement between you and VVBite Journey regarding the subject matter herein.

12.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.

12.4 Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or asset sale.

12.5 Notices: All legal notices shall be sent to the contact details provided in Section 1 or via email to legal@grieavstirbafzoa.club. Notices are deemed received within 2 business days of sending.

12.6 Language: These Terms are prepared in English. In the event of any inconsistency with a translated version, the English version shall prevail.
